Bridge Fund, LLC
Effective Date: March 1, 2026
1. Definitions
For the purposes of this terms, the following terms shall have the meanings set forth below:
1.1 "Agreement" means this terms and any exhibits, schedules, or amendments attached hereto.
1.2 "Company" means Bridge Fund, LLC, a Delaware limited liability company, together with its affiliates, subsidiaries, and successors.
1.3 "Effective Date" means the date on which this Agreement is executed by all parties or, if executed on different dates, the date of the last signature.
1.4 "Party" or "Parties" means the signatories to this Agreement, individually or collectively as the context requires.
1.5 "Services" means the tariff refund recovery, processing, and related services provided by the Company as described in this Agreement.
2. Scope and Purpose
2.1 This terms establishes the terms and conditions governing the relationship between the Parties with respect to tariff refund recovery services.
2.2 The Company specializes in identifying, processing, and recovering tariff refunds owed to importers by the United States Government pursuant to applicable customs laws and regulations.
2.3 The purpose of this Agreement is to set forth the rights, obligations, and responsibilities of each Party in connection with the recovery and distribution of tariff refunds.
3. Platform Use and Access
3.1 License Grant. Subject to the terms and conditions of this Agreement, Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for lawful purposes related to tariff refund recovery services.
3.2 Restrictions. You shall not: (a) copy, modify, or distribute the Platform; (b) reverse engineer or attempt to derive the source code; (c) use the Platform for any unlawful purpose; (d) interfere with or disrupt the integrity of the Platform; (e) attempt to gain unauthorized access to any systems or networks.
3.3 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4. Intellectual Property
4.1 Ownership. The Platform, including all content, features, and functionality, is owned by the Company and is protected by United States and international copyright, trademark, patent, and other intellectual property laws.
4.2 Trademarks. The Company name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company. You may not use such marks without prior written permission.
4.3 User Content. You retain ownership of any content you submit through the Platform, but grant the Company a worldwide, royalty-free license to use such content in connection with providing the Services.
5. Disclaimers
5.1 THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
5.2 THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
5.3 THE COMPANY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
5.4 NO GUARANTEE OF REFUND RECOVERY. The Company does not guarantee that any tariff refund will be recovered or that any specific amount will be obtained.
6. Limitation of Liability
6.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
6.2 IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY EXCEED THE FEES PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
6.3 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
7. Governing Law and Dispute Resolution
7.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
7.2 Arbitration. Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association.
7.3 Venue. Any legal action or proceeding shall be brought exclusively in the federal or state courts located in Wilmington, Delaware.
7.4 Waiver of Jury Trial. EACH PARTY HEREBY WAIVES ITS RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF THIS AGREEMENT.
